Section 01

Acceptance of Terms

By accessing our website, using our services, entering into a property transaction, receiving medical treatment, or participating in Foundation programs, you agree to be bound by these Terms & Conditions ("Terms"). These Terms constitute a legally binding agreement between you and A.J.S Group under the Bangladesh Contract Act 1872.

If you do not agree with any part of these Terms, you must immediately cease using our services and contact us to resolve the matter.

Please Read Carefully

These Terms contain important provisions regarding your rights, our limitations of liability, and the process for resolving disputes. Section 15 in particular contains our dispute resolution and arbitration procedures.

Section 02

About A.J.S Group

A.J.S Group is a registered Bangladeshi conglomerate operating three divisions:

  • A.J.S Real Estate & Construction — Commercial company engaged in property development and construction. Licensed under the Real Estate Development and Management Act 2010.
  • A.J.S Foundation — Registered nonprofit charitable organisation. Enrolled with the NGO Affairs Bureau of Bangladesh. Not a commercial entity.
  • A.J.S Hospital & Diagnostic Center — Licensed healthcare facility operating under the Bangladesh Medical and Dental Council Act 2010 and Directorate General of Health Services (DGHS) regulations.

Section 03

Use of Our Website

Our website is provided for informational purposes and to facilitate engagement with A.J.S Group services. You agree to use our website only for lawful purposes and in accordance with these Terms.

You must not:

  • Use the website in any way that violates applicable Bangladeshi law or the Digital Security Act 2018;
  • Attempt to gain unauthorised access to any part of our website, servers, or connected systems;
  • Transmit unsolicited commercial messages (spam), malware, viruses, or any harmful code;
  • Scrape, copy, or redistribute our content without prior written permission;
  • Impersonate A.J.S Group, our employees, or any other person or entity;
  • Use our website to collect personal information about others without their consent.

We reserve the right to restrict or terminate your access to our website at any time without notice if you breach these Terms.

Section 04

Real Estate & Construction Terms

All property transactions, bookings, and construction contracts are governed by the Real Estate Development and Management Act 2010, the Bangladesh Contract Act 1872, and the specific terms of the signed agreement between A.J.S Real Estate & Construction and the buyer or client.

  • Booking & Registration: A booking is confirmed only upon receipt of the booking amount and signing of the Booking Agreement. Verbal commitments are not binding.
  • Pricing: All prices are quoted in Bangladeshi Taka (BDT) and are exclusive of applicable taxes, registration fees, and stamp duty unless expressly stated. Prices are subject to change before a binding agreement is executed.
  • Payment Schedule: Payment must be made in accordance with the schedule specified in the Sale Agreement. Late payments attract a penalty as stipulated in the signed contract.
  • Cancellation Policy: Cancellations must be submitted in writing. Refund entitlements are governed by the terms of the signed Sale Agreement and the Real Estate Development and Management Act 2010. Processing fees may apply.
  • Delivery Timelines: Completion dates are estimates and may be affected by force majeure events including natural disasters, government actions, or material supply disruptions. We will notify you promptly of any material delays.
  • Defect Liability Period: We offer a defect liability period as specified in the Handover Agreement, during which we will rectify structural defects at no cost to you.
  • Title & Ownership: Legal title transfers to the buyer only upon full payment of all dues and execution of the registered deed of sale. Risk transfers at handover.
Consumer Rights

Under the Consumer Rights Protection Act 2009, you have rights regarding accurate product descriptions, fair pricing, and redress for defective goods or services. Contact the Directorate of National Consumer Rights Protection (DNCRP) at dncrp.gov.bd if you believe your rights have been violated.

Section 05

Hospital & Healthcare Terms

Use of A.J.S Hospital & Diagnostic Center services is subject to these Terms, the Hospital's Patient Rights & Responsibilities Charter, and applicable healthcare regulations including the Bangladesh Medical and Dental Council Act 2010 and DGHS guidelines.

  • Appointments: Appointments may be booked online, by phone, or in person. We reserve the right to reschedule or cancel appointments with reasonable notice. Emergency cases take priority.
  • Medical Advice: Information on our website is for general guidance only and does not constitute medical advice, diagnosis, or treatment. Always consult a qualified physician for medical decisions.
  • Treatment Consent: You must provide informed consent before any medical procedure. Consent may be withdrawn at any time before the procedure commences.
  • Fees & Billing: Service fees are payable as per the Hospital's published fee schedule. Insurance claims are processed subject to your policy terms. Unpaid bills may be referred to collection in accordance with applicable law.
  • Second Opinions: You have the right to seek a second opinion from any qualified physician. We will provide your records upon written request.
  • Medical Records: Your medical records remain our property but you have the right to access and receive copies. See our Privacy Policy for retention and access details.
Patient Rights

Under BMDC guidelines, you have the right to dignified care, information about your diagnosis and treatment options, refusal of treatment, and confidentiality of medical records. Complaints regarding clinical care should be directed to our Patient Relations Officer or the BMDC.

Section 06

Foundation Program Terms

A.J.S Foundation is a registered nonprofit charitable organisation. Participation in Foundation programs, receipt of donations, and partnership agreements are governed by the following terms and the NGO Affairs Bureau regulations.

  • Donations: All donations to A.J.S Foundation are voluntary. Donations may be made by individuals, corporations, or organisations. Receipts are issued for all donations for tax purposes where applicable under Bangladesh law.
  • Use of Donations: Donated funds are used exclusively for the stated humanitarian purposes of A.J.S Foundation. Annual audited financial statements are published on our website. We do not use donations for commercial activities.
  • Refund of Donations: Donations are generally non-refundable once processed. Exceptions may be made in cases of administrative error. Contact foundation@ajsgroup.com within 7 days of the donation date.
  • Beneficiary Eligibility: Eligibility for Foundation programs is determined by our program guidelines and is subject to change. Decisions on eligibility are final and not subject to appeal except in cases of demonstrable administrative error.
  • Partnership Agreements: Corporate and organisational partnerships with A.J.S Foundation are governed by separate written Partnership Agreements. Contact foundation@ajsgroup.com for partnership enquiries.
Section 07

Payments & Fees

All payments to A.J.S Group must be made through authorised channels only. We accept the following payment methods:

  • VAT & Tax: All applicable VAT and taxes are payable by the client in addition to the quoted price, unless stated otherwise in writing.
  • Receipts: Official receipts are issued for all payments. Always obtain and retain receipts. We are not liable for payments made outside official channels.
  • Disputed Charges: Payment disputes must be raised within 30 days of the transaction date by emailing accounts@ajsgroup.com with supporting documentation.
  • Anti-Money Laundering: All transactions are subject to compliance with the Money Laundering Prevention Act 2012 and Bangladesh Financial Intelligence Unit (BFIU) regulations. We may request proof of funds for large transactions.
Section 08

Intellectual Property

All content on our website and in our marketing materials — including text, images, graphics, logos, architectural drawings, brand names, and software — is the exclusive property of A.J.S Group and is protected under the Bangladesh Copyright Act 2000 and applicable international intellectual property law.

  • You may not reproduce, distribute, modify, or create derivative works from our content without our prior written permission.
  • The A.J.S Group name, logo, and hexagonal emblem are registered trademarks. Unauthorised use is prohibited.
  • Personal, non-commercial use of our website content is permitted provided you retain all copyright notices and do not use content in a misleading manner.

Section 10

Limitation of Liability

To the maximum extent permitted by Bangladeshi law, A.J.S Group shall not be liable for:

  • Indirect, incidental, special, or consequential loss or damage arising from your use of our website or services;
  • Loss of business, revenue, data, or profits arising from service disruptions;
  • Delays in construction or service delivery caused by force majeure events, including natural disasters, government actions, or material shortages;
  • Medical outcomes where clinical care was provided in accordance with accepted medical standards;
  • Loss or damage arising from reliance on information on our website that has not been verified.

Where liability cannot be excluded by law, our total liability to you shall not exceed the total amount paid by you to A.J.S Group in the 12 months preceding the claim.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable Bangladeshi law.

Section 11

Indemnification

You agree to indemnify, defend, and hold harmless A.J.S Group, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms;
  • Your violation of any applicable law or regulation;
  • Your infringement of any third-party right, including intellectual property rights;
  • Any content you submit, post, or transmit through our website or services.
Section 12

Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By accepting these Terms you also acknowledge our Privacy Policy.

Our Privacy Policy explains how we collect, use, and protect your personal data in compliance with the Bangladesh ICT Act 2006, the Digital Security Act 2018, and GDPR-aligned international standards.

Section 13

Termination

We may terminate or suspend your access to our website and services immediately, without prior notice, if you breach any provision of these Terms. Upon termination:

  • Your right to use our website and digital services ceases immediately;
  • Obligations already incurred under signed contracts (e.g., property sale agreements, hospital payment obligations) remain enforceable;
  • Provisions that by their nature should survive termination (intellectual property, liability, dispute resolution, governing law) remain in effect.
Section 14

Governing Law

These Terms are governed by and construed in accordance with the laws of the People's Republic of Bangladesh. The following legislation applies in particular:

You irrevocably submit to the exclusive jurisdiction of the courts of Bangladesh for all disputes arising under these Terms.

Section 15

Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or our services, the parties agree to the following process:

  • Step 1 — Informal Resolution: Contact us at legal@ajsgroup.com describing the dispute. We will respond within 10 working days. Most disputes are resolved at this stage.
  • Step 2 — Mediation: If informal resolution fails within 30 days, the parties agree to attempt mediation through a mutually agreed mediator or the Bangladesh Mediation Centre before commencing litigation.
  • Step 3 — Arbitration: For commercial disputes exceeding BDT 5,00,000 (five lakh), the parties agree to binding arbitration under the Bangladesh Arbitration Act 2001 before the Bangladesh International Arbitration Centre (BIAC), Dhaka. The arbitration shall be conducted in English or Bangla as agreed.
  • Step 4 — Court Proceedings: Where arbitration is not applicable or where a party seeks emergency injunctive relief, disputes shall be submitted to the courts of Dhaka, Bangladesh.
Consumer Disputes

Consumers may also refer disputes to the Directorate of National Consumer Rights Protection (DNCRP) at dncrp.gov.bd or the National Consumer Rights Protection Council.

Section 16

Changes to These Terms

We reserve the right to update these Terms at any time. Material changes will be notified via email to registered users and by a prominent notice on our website at least 14 days before the change takes effect.

Continued use of our services after the effective date of updated Terms constitutes your acceptance. If you do not agree with the updated Terms, you must cease using our services.

These Terms were last revised on 01 January 2025 (Version 2.0), superseding all previous versions.

These Terms are effective from 01 January 2025 and were prepared by the A.J.S Group Legal & Compliance Committee in accordance with applicable Bangladeshi law.
